Provider Service Agreement

Last Updated: December 28, 2024

Important: This agreement applies to all service providers ("Providers") using Homixar to offer professional services. By registering as a Provider, you agree to these terms in addition to our general Terms of Service.

1. Parties and Relationship

This Provider Service Agreement ("Agreement") is between you ("Provider," "you") and Yonda Solutions LLC d/b/a Homixar ("Homixar," "we," "us"), a New York Limited Liability Company.

Independent Contractor Status: You are an independent contractor, NOT an employee, partner, or agent of Homixar. You are responsible for your own taxes, insurance, licenses, and business operations. Homixar does not control how you perform your services.

2. Provider Eligibility

To register as a Provider, you must:

  • Be at least 18 years of age
  • Have legal authorization to work in your jurisdiction
  • Hold all required licenses, permits, and certifications for your services
  • Maintain valid liability insurance (recommended minimum: $1,000,000)
  • Complete identity verification through our platform
  • Provide accurate business and tax information
  • Agree to background check if required in your jurisdiction

3. Platform Services

Homixar provides:

  • Marketplace: Platform for clients to discover and book your services
  • Booking System: Calendar management and appointment scheduling
  • Payment Processing: Secure payments through Stripe
  • Messaging: Communication tools with clients
  • AI Tools: Room Lab features for client consultations (based on subscription)
  • Reviews: System for client feedback and ratings
  • Analytics: Business insights and performance data

3.1 Booking Authorization

By listing your services on Homixar, you appoint Homixar as your limited booking agent and authorize Homixar to accept, confirm, schedule, modify, and cancel appointments for your services on your behalf, and to collect payment for those appointments through the platform, in accordance with the services, pricing, and availability you publish. Appointments booked through Homixar are binding on you as if you had booked them directly.

3.2 Third-Party Distribution

You grant Homixar a non-exclusive, worldwide, royalty-free license to list, display, and distribute your business name, services, descriptions, pricing, and real-time availability on the Homixar platform and on third-party channels that Homixar integrates with to help clients discover and book you — including, without limitation, Google (such as Reserve with Google, Google Search, and Google Maps). Bookings made through those channels are created on your behalf under the same terms as bookings made directly on Homixar and appear in your Homixar calendar. You represent that the information you publish is accurate and that you have the authority to offer the services you list. You may request to disable third-party distribution for your profile at any time by contacting support.

4. Commission and Fees

4.1 Commission Structure

PlanMonthly FeeCommissionAI Credits
Basic (Free)$015%5/month
Pro$29.9910%75/month
Premium$79.995%200/month

4.2 Payment Processing Fees

Card processing fees are covered by Homixar. Your payout is the amount collected minus the commission shown above, plus 100% of any tip. Travel fees and tips are never commissioned. Clients pay a separate booking fee that Homixar keeps; it never reduces your payout.

4.3 Fee Changes

We may adjust fees with 30 days' notice. You may cancel your subscription if you disagree with fee changes.

5. Payments and Payouts

5.1 Payment Collection

For jobs paid in the app, Homixar collects payment from clients on your behalf through Stripe. Some jobs are paid to you directly instead: walk-in or offline jobs you log yourself, the remaining balance when you allow "pay the rest at the job", and jobs booked as "Pay the pro directly" (cash, check, card or Zelle at the job). Money you collect directly is between you and the client — Homixar does not hold it, cannot refund it, and does not mediate disputes about it. Do not ask clients who booked and paid in the app to pay again outside it.

5.2 Payout Schedule

  • Payouts are processed through Stripe Connect; you must complete Stripe onboarding to receive them
  • After a job is completed, the payout is held for 48 hours (the client's window to report a problem)
  • Once the hold ends, the payout is sent with the next payout run (every 6 hours)
  • Stripe then deposits it to your bank on your Stripe payout schedule

5.3 Payout Holds

We may hold payouts if:

  • There is a pending dispute or chargeback
  • Suspected fraudulent activity
  • Violation of this Agreement or our policies
  • Required by law or court order

5.4 Taxes

You are responsible for all applicable taxes. If you earn over $600/year, we will issue a 1099-K form. You must provide accurate tax information (W-9 for US providers).

6. Provider Obligations

6.1 Service Quality

  • Provide services as described in your profile
  • Maintain professional standards and conduct
  • Use clean, sanitized equipment and workspace
  • Follow all health and safety regulations
  • Honor posted prices (no unauthorized charges)

6.2 Availability and Bookings

  • Keep your calendar up to date
  • Respond to booking requests within 24 hours
  • Honor confirmed appointments
  • Provide adequate notice for cancellations (minimum 24 hours)
  • Communicate delays or issues promptly

6.3 Profile Accuracy

  • Maintain accurate service descriptions and pricing
  • Use authentic photos of your work
  • Display valid credentials and certifications
  • Update information when it changes

6.4 Communication

  • Respond to client messages in a timely manner
  • Maintain professional communication
  • Do not share personal contact information to bypass the platform

7. Prohibited Conduct

Providers may NOT:

  • Solicit clients to pay outside the platform
  • Provide services different from what was booked
  • Discriminate against clients based on protected characteristics
  • Engage in inappropriate conduct with clients
  • Operate without required licenses or insurance
  • Create fake reviews or manipulate ratings
  • Share client information without consent
  • Provide medical advice unless properly licensed

8. Cancellation Policy

8.1 Provider Cancellations

If you cancel a confirmed booking, the client receives a full refund of everything they paid in the app. A repeated pattern of cancellations may lead to a review of your account.

8.2 Provider No-Shows

If a client reports that you did not show up (they can do so 15 minutes after the start time):

  • The client receives a full refund, including the booking fee
  • No money is charged to you, and the no-show is recorded on your account
  • Three recorded no-shows within 90 days pause new bookings until our team reviews your account
  • If a report is wrong, contact support and we will review it

8.3 Late Arrival

If a client reports that you arrived late, a discount is taken off the service price (not tips or travel) when the final price is set: 10% for 15–29 minutes, 20% for 30–59 minutes, 25% for 60 minutes or more. You can dispute a report you believe is wrong from the booking.

8.4 Compensation You Receive

  • Late client cancellations: when a client cancels inside your cancellation window, the amount they forfeit is paid to you (minus the normal commission)
  • Client no-shows: you can mark a no-show after the start time; the remaining balance on the client's card is charged and paid to you
  • Client not home (mobile service): your travel fee plus 25% of the service price is paid to you
  • These apply to bookings paid in the app. Bookings paid only in person carry no platform payment to forfeit.

9. Disputes and Refunds

  • Disputes should first be resolved directly with the client
  • Homixar may mediate unresolved disputes
  • We may issue refunds at our discretion to resolve disputes
  • Chargebacks may be deducted from future payouts
  • You agree to cooperate with dispute resolution processes

10. Insurance and Liability

  • You must maintain professional liability insurance
  • You are responsible for any claims arising from your services
  • Homixar is not liable for injuries, damages, or disputes related to your services
  • You agree to indemnify Homixar against claims arising from your conduct

11. Intellectual Property

  • You retain ownership of your portfolio images and content
  • You grant Homixar a license to display your content on the platform
  • You may not use Homixar's trademarks without permission
  • Reviews and ratings remain on Homixar even if you leave

12. Termination

12.1 By Provider

You may terminate your account at any time. You must:

  • Complete or cancel all pending bookings
  • Resolve any outstanding disputes
  • Subscription fees are non-refundable

12.2 By Homixar

We may suspend or terminate your account for:

  • Violation of this Agreement or our policies
  • Poor service quality or repeated complaints
  • Fraudulent activity
  • Legal requirements
  • Extended inactivity (12+ months)

12.3 Effect of Termination

Upon termination:

  • Access to platform features ends
  • Pending payouts will be processed (minus any holds)
  • Your profile will be deactivated
  • Client reviews may remain visible

13. Confidentiality

You agree to keep confidential:

  • Client personal information
  • Platform features and business information
  • Commission rates and business terms

14. Modifications

We may modify this Agreement with 30 days' notice for material changes. Continued use after the effective date constitutes acceptance. You may terminate if you disagree with changes.

15. Governing Law

This Agreement is governed by the laws of the State of New York. Any disputes shall be resolved through binding arbitration in New York in accordance with the American Arbitration Association rules.
